Qwerty Key Affiliate Program Terms and Conditions

The Terms and Conditions of the Qwerty Key Affiliate Program, briefly referred to as the Program, are intended to provide affiliates with an understanding of the conditions under which this Program operates, to regulate the way in which the promotion rewarded by commission can be carried out in a fair and relevant way for Internet users .

Terms and Conditions of the Qwerty Key Affiliate Program

1. INTRODUCTION

The present information gathered under the name "Terms and Conditions of the Qwerty Key Affiliate Program" ("Terms and Conditions of the Program") represents the general contractual framework applicable to the Program developed and operated by Qwerty Key SRL (the Beneficiary), with headquarters in Strada Oituz no. 3A, Baia Mare, Maramures, Romania, registered at the Trade Registry under no. J24/964/2021 with fiscal code no. RO44393084, email contact@qwertykey.ro.
To use the Program, it is mandatory to accept the Terms and Conditions of the Program, in the latest updated version which is communicated on the website www.qwertykey.ro, existing at the time of using the Program. Completing the registration process within the application made available to users is equivalent to the unequivocal and irrevocable acceptance of the Terms and Conditions of the Program, including the commission policies and the conditions established by Qwerty Key for the Online Promotion. After registration in the Application, the use of the Program is equivalent to accepting the changes made to the Terms and Conditions of the Program and/or the updated versions of the Terms and Conditions of the Program, regardless of whether or not the affiliate has validated these changes / versions in the Application. The Terms and Conditions of the Program can be modified at any time by Qwerty Key, so the users of the Program (Affiliates) are obliged to check and permanently follow any updates communicated within the Application and/or on the website www.qwertykey.ro, these being objectionable from the date of display in the Application and/or on the website.
In case of non-compliance with the Terms and Conditions of the Program, Qwerty Key reserves the right to cancel the Affiliate's uncollected earnings, to interrupt the use of the Program and to deactivate the Affiliate Account, without any other obligation or liability on the part of Qwerty Key.

2. DEFINITIONS AND TERMS

The Affiliate is the person who fulfills the conditions established in the Terms and Conditions of the Program and who uses the Program and uses the Application/Platform to generate for Qwerty Key the predetermined actions rewarded by it, through the Online Promotion;
The current profit represents the amount of the Profits obtained by the Affiliate, approved and not collected, available in the Affiliate Account. The amount displayed in the Affiliate's dashboard includes the legal fees that Qwerty Key is obliged to withhold and transfer according to the legal destinations at the time of payment;
The payable profit represents the current profit registered in the Affiliate's Account and which will be paid to the Affiliate, after the legal fees and the other commissions established in Pct. 7.3 "Payment of affiliates", if the payment conditions are met:
respectively, if the Affiliate has signed and sent to Qwerty Key the Commission Contract (in the case of Affiliates who are unauthorized natural persons), or the Contract for the provision of marketing services (in the case of Affiliates of authorized natural persons and/or legal entities), signed, and Qwerty Key received this Agreement;
The affiliate code is the discount code that is generated by the Application, used by the Affiliate to carry out the Online Promotion, for the purpose of identifying Visitors, as well as registering, verifying and validating Conversions;
The commission represents the amount of money established by Qwerty Key, with which the Affiliates are rewarded for each Sale generated for their benefit through the Application and the Program;
Contract represents the Commission Contract - in the case of Affiliates who are unauthorized natural persons, respectively the Marketing Services Contract in the case of Affiliates of authorized natural persons and/or legal entities, which is made available to Affiliates by Qwerty Key through the Application and/or website- and which the Affiliates are obliged to sign and send to Qwerty Key in order to collect the Payable Earnings; The Terms and Conditions of the Program with all the changes and updates displayed in the Platform at any time are an integral part of the Contract which it completes accordingly, the content of the Contract being interpreted in accordance with their provisions.
The Affiliate Account represents the Affiliate's workspace within the Platform, where information is available about the performance of its association activity, the number of Conversions generated, Current Earnings as well as notifications of interest fromQwerty Key art (including any updates to the Program Terms and Conditions).
The conversion represents the action carried out online, predetermined by the Affiliate, undertaken by the Visitors in favor of the Affiliate, following the Promotion carried out by the Affiliate. The conditions that the Conversion must meet in order to be rewarded are established by Qwerty Key.
The conversion refers to the online order of goods received by Qwerty Key following the Promotion carried out by the Affiliate, collected in full and for which the consumer's withdrawal period has expired, and which will be rewarded by Qwerty Key by paying an established commission applied to the value of the order (exclusive of products sold on the website www.qwertykey.ro) after deduction of VAT, transport and/or other taxes.
If the consumer later returns purchased products for which the Affiliate received a commission, the value of the commission granted at the invoicing of the respective order will be deducted from the affiliate's account, reducing the payable profit from the current period.
The cookie is a small file, consisting of letters and numbers, which is stored in the web browser installed on the computer, mobile terminal or other equipment of a Visitor from which the Internet is accessed and on the basis of which the conversions made through through the Affiliate.
The online and offline environments represent the generic set of all the places where promotion can be done via the Internet.
Promotion methods represent the techniques by which online and offline media can be used to promote via the Internet. For example, they are promotional methods: publishing content in social networks, using paid advertising, writing articles on blogs, using banners on websites, as well as offline media: salons, stores, events, fairs, etc.
The Platform or Application represents the technical association system developed by Shopify and operated by Qwerty Key, made available to the Affiliate on the domain www.qwertykey.ro together with all the information of interest and the specific tools necessary so that he can use the Program, respectively can generate, through online or offline Promotion. Within the Platform (Application), updated information is published about the value of the Earnings offered to Affiliates by Qwerty Key and any additional restrictions imposed by it, which Affiliates undertake to respect.
Online and offline promotion represents the Affiliates' activity of using the Promotion Tools, in the online and offline environments agreed by Qwerty Key, in order to obtain the Profit;
The Program represents the Qwerty Key Affiliate Program made available to Affiliates through which they use the Platform to generate Conversions for the benefit of Qwerty Key and to be rewarded with Payable Earnings;
The visitor is the person who accesses the Qwerty Key website through the Promotion Tools used by the Affiliate;
The website represents a page or a group of interconnected web pages, having a theme and a common domain name;

3. AFFILIATE ACCOUNT REGISTRATION

3.1. The following categories of people can use the Program and become Affiliates:
a) Natural person (unauthorized) over 18 years old.
aˆ) Persons under the age of 18 can become Affiliates if and only if a parent or legal guardian signs the Contract on their behalf and assumes responsibility for compliance with art. 122 para. (1) from the Fiscal Code (declaration of income to the competent fiscal body in order to pay additional fiscal obligations);
or
b) Authorized natural persons (PFA, II)*;
c) Legal persons*;
* whose object of activity is marketing and/or advertising.
3.2. Unauthorized natural persons who frequently (continuously) obtain earnings by providing marketing services have the obligation to authorize themselves, according to the legal provisions regarding dependent activities. Qwerty Key reserves the right to condition at any time the continuation of the collaboration with these Affiliates on the authorization for the provision of marketing services, but it cannot impose the timing and/or the necessity of the authorization and cannot be held responsible for any of the actions of the Affiliates related to this appearance.
3.3. To be able to use the Program, it is necessary to create an Affiliate Account within the Platform. An Affiliate can have only one Affiliate Account within the Platform.
3.4. When creating the Affiliate Account and subsequently, at any time during the use of the Program, the Affiliate undertakes to provide correct and complete information related to his identity and the online media he will use to generate Conversions for the benefit of the Affiliate.

4. ONLINE MEDIA, PROMOTION METHODS AND TOOLS

4.1. There will be no needleaccepted and approved as Online Media Websites that:
a) have sexual or pornographic content or promote such content;
b) promotes violence, bigotry or discrimination based on race, ethnicity, sex, religion, sexual orientation, age or disability;
c) are defamatory, slanderous or use vulgar language;
d) involves, facilitates or promotes the sale or use of illegal substances;
e) involves, facilitates or promotes activities of terrorism, rebellion or other illegal activities;
f) harms minors in any way;
g) involves or facilitates gambling;
h) conflicts with or violates any of the laws, intellectual property rights or other rights of any person or entity;
i) by their nature and content, they violate the current laws of the Romanian state;
j) contain, constitute, involve, facilitate or promote illegal activities, including, but not limited to, warez Websites, hacking or cracking Websites, filesharing or torrent Websites, with files and/or other intellectual property materials for viewing, downloading, selling or copying, without the owner's permission;
k) use intrusive promotion methods such as pop-up/pop-under banners;
l) are non-functional, without their own content, in the creation stage, or have advertising content on more than 50% of the surface of the web pages
m) impersonate any other person, including any representative of Qwerty Key or the Affiliate
n) contain in the domain name qwertykey, including www.qwertykey.ro
4.2. The Affiliate can use to generate Conversions the following online and offline Media and Promotion Methods:
a) promotion within the Websites managed by Affiliates;
b) advertising campaigns paid through Google AdWords and / or Facebook Ads, etc.;
c) promotion through the publication of content within social networks;
d) promotion in salons, stores, fairs, events.
4.3. The use of any other methods of promotion other than those mentioned in point 4.2. is conditioned by sending an email in advance to obtain an agreement from the Qwrty Key side. In this sense, the Affiliate will provide Qwerty Key with all the necessary information related to the proposed Promotion Method.
4.4. Promotion in certain online media (such as Google AdWords) may be partially or totally restricted, the potential restrictions being communicated by them within the Platform.
4.5. Qwerty Key reserves the right to permanently check how the Affiliate complies with the Promotion conditions.
4.6. The Affiliate undertakes to use the Promotional Tools offered by the Platform in a correct manner, so as not to mislead third parties.
4.7. In case of termination, regardless of the reason, of the use of the Program, the Affiliate is obliged to immediately give up the use of any Promotion Tool, being exclusively responsible towards Qwerty Key.
4.8. Qwerty Key assumes no responsibility for Visitors who have deactivated, refused to register Cookies or for those who have deleted them.

5. RIGHTS AND OBLIGATIONS OF THE AFFILIATE

5.1. The Affiliate's rights are:
a) to use the Promotion Tools in accordance with the Terms and Conditions of the Program and with any conditions imposed by Qwerty Key, in order to generate Conversions and obtain Earnings
b) to be rewarded with Earnings for generated and approved Conversions;
c) to be able to participate in competitions organized by Qwerty Key and to be able to win prizes, in accordance with the regulations of these competitions;
d) to receive periodic information about affiliate activity, news and performance of the Program, contests and events for Affiliates;
e) to have access to the Terms and Conditions of the Program, with all changes and updates displayed on the Platform at any time.
5.2. The Affiliate's obligations are:
a) to provide correct and complete information regarding his identity;
b) to use for Online Promotion exclusively the Online Media, Promotion Methods and Websites declared and agreed by Qwerty Key, respecting any conditions or restrictions imposed
c) to provide correct and complete information related to any information of interest in order to establish fiscal obligations and to update this information whenever changes occur;
d) to use in good faith the Platform and Promotional Tools made available by Qwerty Key, without altering them in any way;
e) not to harm the image and/or interests of Qwerty Key through any activities it undertakes, through what it communicates or through the way it does it;
f) to promptly provide, at the request of Qwerty Key, the necessary information for the analysis and approval of the Earnings;
g) to notify Qwerty Key as soon as it detects malfunctions of any kind on the Platform;
h) to respect allthe obligations and conditions specified in the other chapters of the Program Terms and Conditions, with all changes and updates displayed on the Platform at any time.

6. RIGHTS AND OBLIGATIONS of Qwerty Key

6.1. Qwerty Key Rights:
a) Qwerty Key reserves the right to verify compliance by Affiliates with the Terms and Conditions of the Program, with all changes and updates displayed on the Platform, as well as any additional conditions imposed, being able to request at any time complete information regarding the activity carried out by Affiliates ;
b) Qwerty Key reserves the right to cancel at any time the earnings of Affiliates who do not comply with the Terms and Conditions of the Program, with all changes and updates displayed within the Platform and / or any additional conditions imposed, to interrupt the use of the Program and to deactivate Affiliate Account, without any other obligation or liability on the part of Qwerty Key;
c) Qwerty Key reserves the right to block the access of Affiliates who do not comply with its requests to the Affiliate Account until they provide all the requested information and reports, related to the activity carried out;
d) Qwerty Key has the right to modify the Terms and Conditions of the Program, with prior notice to Affiliates, by any method chosen by Qwerty Key.
6.2. The obligations of Qwerty Key are:
a) To pay Affiliates the approved Earnings, when they meet all the necessary conditions according to the Terms and Conditions of the Program;
b) To ensure the functioning of the Promotional Tools, the registration of Conversions and related Earnings;
c) To provide, through the Affiliate Account, information regarding the generated Conversions, regardless of their status ("approved", "pending", "cancelled");
d) To provide Affiliates with access to any changes to the Terms and Conditions of the Program. Qwerty Key may notify Affiliates that the Terms and Conditions have undergone changes, but the responsibility regarding taking cognizance of the Terms and Conditions falls to the Affiliates. Affiliates cannot claim ignorance of the terms and conditions due to the lack of a notification from Qwerty Key;
e) To provide the Affiliates, by any method, with information regarding the affiliate activity, news and performance of the Program.

7. EARNINGS, BONUSES AND AFFILIATE PAYMENT

7.1. Awarding of Winnings
7.1.1. The methods of calculating the Earnings, as well as any additional conditions or restrictions in connection with their collection, are established by Qwerty Key, being permanently displayed and updated on the Platform.
7.1.2. Earnings are attributed only to the Affiliate who generated the Conversion, being non-transferable to anyone other than the Affiliate
7.1.3. All related Conversions and Earnings will be calculated and recorded by Qwerty Key through the Platform and displayed in the Affiliate Account.
7.1.4. Until collected by the Affiliate, each Earning may have one of the following statuses:
a) "approved" - means the Earning related to the Conversions registered by the Platform (including the related fees) in compliance with the Terms and Conditions of the Program and approved for payment to the Affiliates
b) "pending" - means the Earning related to the Conversions registered by the Platform (including the related fees), which have not yet been approved for payment after being verified by Qwerty Key;
c) "cancelled" - means the Earning related to the Conversions registered by the Platform, rejected by Qwerty Key according to its own regulations for non-compliance with the Terms and Conditions of the Program.
d) "paid" - means the Earning related to the Conversions registered by the Platform (from which the related fees are deducted at the time of payment), which were paid to the Affiliate's account.
7.2. Granting of bonuses and/or prizes
7.2.1. Qwerty Key reserves the right to grant bonuses or additional prizes to the Earnings to reward certain performances of the Affiliates. Bonuses and prizes will be communicated, together with any related regulations, by publication in the Platform.
7.2.2. The bonuses granted will be displayed in the Affiliate Account and their payment can only be made together with the payment of the Winnings, when the Affiliate meets the necessary conditions for making the payment, according to the Terms and Conditions of the Program
7.3. Payment of Affiliates
7.3.1. In the Affiliate's account, the payable profit will be registered after the prior confirmation by Qwerty Key of the commissions. Qwerty Key will pay the Earnings Payable to Affiliates, until the last day of the month for Conversions from the previous month, to the bank account of the Affiliate indicated by the latter in the Contract. The minimum ceiling for withdrawing the winnings is 100 lei, which means that the first payment will be made afterreaching at least this threshold. If the Affiliate does not notify Qwerty Key of any changes to his bank account, Qwerty Key is exempted from any responsibility regarding the payment, any payment made to the bank account registered in the Contract being considered valid.
7.3.2. In order to make the payment to the Affiliates authorized natural persons and Affiliates legal entities, they are obliged to issue an invoice for the Payable Earnings and send it to Qwerty Key by the 15th of the month for the previous month. The earnings payable in the case of these categories of Affiliates include all taxes, their payment to the destinations imposed by law is the responsibility and responsibility of the Affiliates in the categories provided in this paragraph. If Qwerty Key has not received the invoice, the payment will not be made .
7.3.3 In order to make the payment to the Affiliates, unauthorized natural persons, they are obliged to provide Qwerty Key with the Personal Numeric Code in order to retain, declare and pay the income tax to the State Budget. If Qwerty Key has not received these data, the payment will not be made.
7.3.4. Payment of the Payable Earnings (after deduction of taxes and commissions) will be made by bank transfer, to the Affiliate's current account in lei, opened at a bank in Romania.
7.4. Payment of fiscal obligations
7.4.1. The affiliates in the categories from Points 3.1 b) and 3.1 c) have the obligation to declare and pay taxes related to the income resulting from this contract according to the laws in force.
7.4.2. Affiliates in the category from Point 3.1 a), respectively unauthorized natural persons at the time of payment, will be withheld a percentage of 10% representing tax on the income of natural persons which will later be declared and paid to the State Budget according to the legislation in force by Qwerty Key. The affiliate is fully responsible for the payment of any other fees and taxes due to him, related to his income, for their declaration and/or payment and for any other aspect related to legality and taxation.

8. MODIFICATION OF TERMS AND CONDITIONS

8.1. Qwerty Key may at any time modify any term or condition of the Program by publishing a notice on the Platform and/or by any other method chosen by Qwerty Key.
8.2. If the Affiliate considers that the changes that have occurred are unacceptable, he can immediately stop the collaboration by renouncing the use of the Program. Continuing to use the Program after the notification and/or display of the changes in the Platform implies their acceptance by the Affiliate.
8.3. Qwerty Key can unilaterally change, at any time, the value of the Earnings, the bonus policies, the conditions regarding the Online Media and the accepted Promotion Methods, as well as any additional conditions and restrictions.
8.4. If the Affiliate expresses in writing his disagreement with the changes to the Terms and Conditions of the Program within 30 (thirty) days from the date on which they intervened, Qwerty Key reserves the right to interrupt the use of the Program by the respective Affiliate , in which case the Commission Agreement (in the case of Affiliates of unauthorized natural persons), respectively the Marketing Services Agreement (in the case of authorized natural persons and/or legal entities), ceases by law.
8.5. The last modification of the Terms and Conditions of the Program displayed on the Platform prevails over any other previous version of the Terms and Conditions of the Program, and it is the Affiliate's responsibility to be informed about it.

9. INTELLECTUAL/INDUSTRIAL PROPERTY

9.1. By using the Program, the Affiliate declares and acknowledges that the technology and know-how, patented or not, incorporated in the Platform and in the Program are and remain the property of Qwerty Key. Thus, the Affiliate agrees and acknowledges that Qwerty Key owns all intellectual property rights over the Platform and the Program and that, except for the right to use the Platform and the Program subject to full compliance with the Terms and Conditions of the Program, with all changes and updates displayed in any moment, does not acquire any other rights over the Platform and/or over the Program.
9.2. The Affiliate acknowledges and undertakes to respect and defend at all times Qwerty Key's ownership of the Promotional Tools and declares that it will not use the Promotional Tools under conditions other than those permitted in the Program Terms and Conditions, with all the changes and updates displayed in the Platform at any time.
9.3. The affiliate declares and guarantees that he owns all the rights (including intellectual property) and authorizations necessary for the use of the Websites and/or Online Media that he uses to make the Conversions, assumes full responsibility for their use in order to display the Marketing Toolsomovare and is the only responsible in case of infringement of any intellectual property right or any other right of a third party in relation to the respective Websites and/or Online Media. In the event that Qwerty Key receives or receives a complaint from Visitors or third parties regarding the violation of the rights of third parties, Qwerty Key will forward it to the Affiliate, who is solely responsible for remedying the situation and indemnifying the affected third parties, as well as Qwerty Key for any costs or damages suffered as a result of the fact that the above declaration/warranty is not accurate/true.

10. SPECIAL CLAUSES

10.1. Affiliate agrees to indemnify and defend Qwerty Key against any and all third party claims, losses and expenses (including damages, legal fees and charges) brought against and/or against Qwerty Key arising out of, or which may arise out of, the Affiliate's use of the Program and/or the Affiliate's breach of the Program's Terms and Conditions, with all changes and updates displayed on the Platform at any time.
10.2. By using the Program, the Affiliate grants Qwerty Key an irrevocable right to retain and use any information related to the use of Promotional Tools in the Online Media used by Affiliates.
10.3. Legal entity affiliates declare that they agree that Qwerty Key can use, including after the termination of the relationship between the Affiliate and Qwerty Key, unlimited and free of charge the name, logo and/or trademarks of the Affiliates in presentations, marketing materials, customer lists, financial reports , lists of Affiliate websites and/or other materials derived from those previously detailed.
10.4. Affiliates can use the name Qwerty Key and/or any other intellectual property elements of the Program (for example the name "Qwerty Key") limited, only for the purpose and only during the use of the Program, any other use being considered unauthorized and determining the responsibility of the Affiliate.
10.5. By using the Program, each Affiliate declares and guarantees that: (i) all information provided for registration in the Platform is correct and up-to-date; (ii) holds all the rights and/or authorizations for the use of the Program and for the conclusion of any acts and/or legal acts related to this Program; (iii) owns all the rights to all the intellectual property elements that it uses within the Program; (iv) respects and will continue to respect all and any legal provisions in force at any time.
10.6. During the use of the Program, but also after its termination, the Affiliate undertakes not to disclose to third parties, without the prior consent of Qwerty Key: (i) information related to software applications, source codes, Visitor accesses within the Program and/or (ii ) any other information related to Qwerty Key, all of which are considered confidential information. Not subject to the obligation of confidentiality in this clause (i) information that at the time of disclosure was known to the public from other sources, without the Affiliate breaching the obligation of confidentiality assumed by this clause and (ii) information that is disclosed to the authorities, in compliance with the provisions legal.
10.7. The Affiliate undertakes to use the Promotional Tools only in accordance with the Terms and Conditions of the Program with all changes and updates displayed on the Platform at any time.
10.8. The Affiliate acknowledges that in the event that he/she will sign/conclude a Contract with the Qwerty Key necessary for making payments of approved Winnings and/or bonuses, the Terms and Conditions of the Program, with all changes and updates displayed on the Platform at any time, will form an integral part of this Contract, the Contract being completed and interpreted in the sense of the Terms and Conditions of the Program, with all the changes and updates displayed in the Platform.
10.9. The Affiliate confirms and irrevocably acknowledges that Qwerty Key does not offer any guarantee, direct and/or implicit, regarding the Affiliate making a profit, respectively regarding the receipt of a Profit by using the Program
10.10. Failure to achieve a Payable Earning and/or failure to sign the Contract does not exonerate the Affiliate from liability regarding the use of the Program, being responsible for compliance with the provisions of the Terms and Conditions of the Program in the latest updated version that is communicated within the Platform, existing on the date of use of the Program.

11. PERSONAL DATA PROCESSING:

11.1. By using the Program, the Affiliate unequivocally expresses his consent expressly as Qwerty Key:
- to process his personal data and all other data registered within the Program (including CNP), directly or through the operators designated by him (madebtors and/or third parties, from the country or abroad) for the purpose of running the legal relationships created, respectively for the purpose of realizing the Program (for the purpose of verifying the identity/personal data provided, achieving the objectives of the unaffiliated activity, for statistical purposes) and for the purpose of realizing the marketing activity (promotional purposes, in order to provide new services/products, to send any offer/commercial correspondence through which the products and/or services of Qwerty Key or other affiliates of Qwerty Key are promoted) as well as for the creation of its own database;
- to be able to transfer (give) the Affiliate's personal data to another operator, provided that the information obligation is respected according to the clauses of this chapter.
11.2. By using the Program, the Affiliate expressly confirms that:
a) Regarding the purpose of use, the Program agrees with the processing of its personal data, including CNP (storage, disclosure, transfer to third parties, etc.) and that its refusal regarding the processing of its personal data (storage, disclosure, transfer to third parties, etc. .) leads to the impossibility of using the Program;
b) In relation to the purpose of carrying out the marketing activity, he agrees with the processing of his personal data, including CNP (storage, disclosure, transfer to third parties, etc.) and that his refusal regarding the processing of his personal data (storage, disclosure, transfer to third parties, etc.) may lead to the impossibility of using the Program.
Thus, the Affiliate agrees that all his personal data will be included in the Qwerty Key database and gives his express and unequivocal consent for all his personal data to be stored and used for:
marketing activities by receiving information or commercial messages (offers, promotions, advertising and marketing messages regarding Qwerty Key activity
participation in contests, promotions;
sending non-commercial or administrative messages (regarding changes in the Platform, administration, etc.);
internal statistics made by Qwerty Key necessary for improving the quality of the services offered and the image of Qwerty Key and for the creation of new characteristic elements, promotions, functionalities and new services;
market research.
Tracking the results of the Program
11.3. The affiliate acknowledges that he is guaranteed the rights provided by the law, namely the right to information, the right to access data, the right to intervene, the right to oppose, the right not to be subject to an individual decision, the right to go to court in case of violation of his rights guaranteed by Law 677/2001 for the protection of individuals regarding the processing of personal data and the free movement of such data. At the same time, the Affiliate has the right to object to the processing of his personal data and to request the deletion of his data, but this determines the impossibility of using the Program.
11.4 The affiliate declares that he has taken note of the fact that he can exercise his rights through a written request (dated and signed) sent to the Qwerty Key headquarters.
11.5. The affiliate declares that in case of transfer of his personal data (including CNP) to third parties (other than the authorized state bodies), from the country or from abroad, he agrees to be notified via Qwerty Key, having the right of opposition and intervention according to the above, in which case Qwerty Key will immediately take all the necessary measures to delete/modify its data thus transferred.
11.6. The affiliate declares that even if he is not approved by Qwerty Key to use the Program, he agrees that his personal data will be processed in order to offer other products and/or services, by any other entity that has concluded in this means a Qwerty Key affiliate.
11.7. Based on a written, dated and signed request, sent to the address of the Qwerty Key headquarters, the Affiliate can exercise, free of charge, the following rights:
- once a year, confirmation of the fact that personal data are processed or not;
- to intervene on the transmitted data;
- to oppose the processing of personal data for well-founded and legitimate reasons related to his particular situation.

12. TERMINATION

12.1. The conclusion of the Contract between Qwerty Key and the Affiliate necessary for the payment of approved Winnings and/or bonuses as well as the use of the Program are for an indefinite period.
12.2. Subject to compliance with the conditions established by Qwerty Key for the Online Promotion, the Affiliate may at any time terminate the Contract between Qwerty Key and the Affiliate and/or, in the absence of a Contract, the use of the Program, through a notification to the email address: help@qwertykey.ro . In this case, the termination will take effect within 5 (five) working days from the receipt by Qwerty Key of the notification from the Affiliate.
12.3. Qwerty Key reserves the right to stop the collaboration at any time cu an Affiliate if he does not comply with the Terms and Conditions of the Program, with all changes and updates displayed on the Platform at any time. In this case, the termination will take effect immediately, Qwerty Key having the right, recognized by the Affiliate, to cancel the Affiliate's current Earnings and/or any bonuses achieved, to interrupt his use of the Program and/or to deactivate his Affiliate Account, without no other obligation or liability on the part of Qwerty Key.
12.4. Qwerty Key has the right, recognized by the Affiliate, to stop the use by an Affiliate of certain promotional tools at any time.
12.5. Qwerty Key has the right, at its own discretion, to unilaterally, at any time, terminate the Contract concluded with any Affiliate and/or to interrupt the use of the Program, by sending a notification to the Affiliate's e-mail address and/or by displaying it on the Platform . In this case, the termination will take effect immediately, after Qwerty Key issues the termination notice. In the event of such a termination, the Affiliate is not entitled to any compensation from Qwerty Key, he acknowledging that such a termination does not cause him any damage.
12.6. In case of termination of the Contract and/or the use of the Program, the Affiliate will immediately stop using any Promotion Tool and/or any other intellectual and/or industrial property elements received for the use of the Program. Any possible Conversions made after the moment of termination will not result in payment obligations to Qwerty Key.
12.7. Termination of the Contract concluded between Qwerty Key and the Affiliate and/or the use of the Program will not exempt the Affiliate from liability for damages caused to Qwerty Key and/or third parties.
12.8. In case of termination of the Contract and/or the use of the Program, the amounts recorded in the Affiliate Account as Payable Earnings and any bonuses will be paid to the Affiliate. The amounts registered in the Affiliate Account as Current Earnings and possible bonuses, but which have not reached the Minimum Withdrawal Threshold and/or those which do not meet all the conditions to be considered Payable Earnings will no longer be paid to the Affiliate, he assuming expressly that the lack of validation of changes to the Terms and Conditions of the Program according to this clause may result in the loss of sums. Also, the Affiliate confirms that he will have no additional claims to the Payable Earnings and any bonuses as established and paid by Qwerty Key.

13. ASSIGNMENT

13.1. In the absence of the prior, express, written agreement of Qwerty Key, the Affiliate does not have the right to assign and/or transfer in any way, totally or partially, his rights and obligations resulting from the Contract concluded with Qwerty Key and/or from the use of the Program .
13.2. By using the Program, the Affiliate recognizes the right of Qwerty Key to assign at any time, without the need for another agreement of the Affiliate, in whole or in part, any and all of its rights and/or obligations resulting from the Contract concluded with the Affiliate and/or from use of the Program. Also, the Affiliate recognizes the right of Qwerty Key to assign/transfer to a third party, in any way, total or partial, the Program.

14. NOTICES:

14.1. Notifications, communications and/or any other addresses made within the Program will be made in writing, by communication to the correspondence address or to the e-mail address help@qwertykey.ro indicated by the Affiliate in the Affiliate Account registration forms, and by Qwerty Key in the Introduction of the Program Terms and Conditions, with all changes and updates displayed on the Platform at any time.
14.2. The affiliate acknowledges that any notifications, communications made by Qwerty Key through the Program, by display in the Platform, are valid and are objectionable from the moment of publication / display by Qwerty Key.
14.3. If the communication is made by post (including any courier service), it will be valid if it is sent with confirmation of receipt and will be considered received on the date mentioned on the confirmation of receipt by the receiving post office and/or by courier.
14.4. If the communication is made by e-mail, it will be considered received on the working day on which it was sent and/or on the next working day if it was sent on a non-working day.

15. FORCE MAJEURE

15.1. Any circumstance that is impossible to foresee and invincible, independent of the will and control of the Parties, that makes it impossible to fulfill the obligations of the Affiliate and/or Qwerty Key, will be considered Force Majeure and will exempt the party that invokes it from fulfilling that obligation.
15.2. The causes of Force Majeure are those circumstances, including, without limitation: war, revolution, earthquake, massive floods, embargo, expropriation, devastating firer, interrupting or blocking access or functionality of the Platform and/or Program for reasons not attributable to Qwerty Key.
15.3. The party invoking Force Majeure must notify the other party within 10 working days from the date on which the circumstances occurred and provide the documents certifying Force Majeure, issued by a competent authority within 30 (thirty) working days from that date. The party in question is also obliged to immediately communicate the date on which the case ceases due to Force Majeure.
15.4. In case of failure to notify, in accordance with the conditions and within the deadlines provided above, the initiation and termination of the case of Force Majeure, the party claiming Force Majeure shall bear the entire damage caused to the other party by this omission.
15.5. The parties undertake to take all reasonable measures necessary to limit any damage that could occur during the Force Majeure situation, as a result of the Force Majeure situation.
15.6. During a Force Majeure event that prevents one or both parties from performing their obligations, the parties are exempt from fulfilling their obligations. If the Force Majeure does not cease within 3 (three) months from its notification, either party may terminate the Contract and/or the use of the Program.

16. APPLICABLE LEGISLATION AND JURISDICTION

16.1. The provisions of the Affiliate Program are governed by the laws of Romania.
16.2. The competent courts in Romania will have exclusive jurisdiction over any and all disputes that will arise in connection with the provisions of the Terms and Conditions of the Program, with all changes and updates displayed on the Platform at any time and/or in connection with the Contract concluded between the Affiliate and Qwerty Key in the basis of these Terms and Conditions.

Termeni si Conditii Program Afiliere Qwerty Key

Termenii si Conditiile Programului de Afiliere Qwerty Key, denumit pe scurt Program, sunt menite sa ofere afiliatilor o intelegere a conditiilor in care acest Program functioneaza, sa reglementeze felul in care promovarea recompensata prin comisionare poate fi realizata in mod corect si relevant pentru utilizatorii de internet.

Termenii si Conditiile Programului de Afiliere Qwerty Key

1. INTRODUCERE

Prezentele informatii reunite sub denumirea „Termenii si Conditiile Programului de Afiliere Qwerty Key” („Termenii si Conditiile Programului”)reprezinta cadrul contractual general aplicabil Programului dezvoltat si operat de catre Qwerty Key SRL (Beneficiara), cu sediul in Strada Oituz nr. 3A, Baia Mare, Maramures, Romania, inregistrata la Registrul Comertului sub nr.J24/964/2021 avand cod fiscal nr. RO44393084, e-mail  contact@qwertykey.ro.
Pentru utilizarea Programului este obligatorie acceptarea Termenilor si Conditiilor Programului, in ultima versiune actualizata care este comunicata pe site-ul www.qwertykey.ro, existenta la data utilizarii Programului. Finalizarea procesului de inregistrare in cadrul aplicatiei pusa la dispozitia utilizatorilor echivaleaza cu acceptarea neechivoca si irevocabila a Termenilor si Conditiilor Programului, inclusiv a politicilor de comisionare si a conditiilor stabilite de Qwerty Key pentru Promovarea online. Ulterior inregistrarii in cadrul Aplicatiei utilizarea Programului echivaleaza cu acceptarea modificarilor intervenite asupra Termenilor si Conditiilor Programului si/sau a versiunilor actualizate ale Termenilor si Conditiilor Programului, indiferent daca afiliatul a validat sau nu aceste modificari / versiuni in Aplicatie. Termenii si Conditiile Programului pot fi modificati oricand de catre Qwerty Key, asadar utilizatorii Programului (Afiliatii) se obliga sa verifice si sa urmareasca in permanenta eventualele actualizari comunicate in cadrul Aplicatiei si/sau pe site-ul www.qwertykey.ro, acestea fiindu-le opozabile de la data afisarii in Aplicatie si/sau pe site.
In cazul nerespectarii Termenilor si Conditiilor Programului, Qwerty Key isi rezerva dreptul de a ii anula Afiliatului castigurile neincasate, de a-i intrerupe utilizarea Programului si de a-i dezactiva Contul de Afiliat, fara nicio alta obligatie sau raspundere din partea Qwerty Key.

2. DEFINITII SI TERMENI

Afiliatul este persoana care indeplineste conditiile stabilite in Termenii si Conditiile Programului si care utilizeaza Programul si foloseste Aplicatia/Platforma pentru a genera pentru Qwerty Key actiunile prestabilite recompensate de catre aceasta, prin intermediul Promovarii online;
Castigul curent reprezinta suma Castigurilor obtinute de catre Afiliat, aprobate si neincasate, disponibila in Contul de Afiliat. Suma afisata in dashboardul Afiliatului include taxele legale pe care Qwerty Key este obligata sa le retina si sa le vireze conform destinatiilor legale in momentul platii;
Castigul platibil reprezinta Castigul curent inregistrat in Contul Afiliatului si care se va plati Afiliatului, dupa ce din acesta se vor retine taxele legale si celelalte comisioane stabilite la Pct.7.3 “Plata afiliatilor”, daca indeplineste conditiile de plata:
respectiv, daca Afiliatul a semnat si a trimis catre Qwerty Key Contractul de comision (in cazul Afiliatilor persoane fizice neautorizate), sau Contractul de prestari servicii de marketing (in cazul Afiliatilor persoane fizice autorizate si/sau persoanelor juridice), semnat,  si Qwerty Key  a primit acest Contract;
Codul afiliat este codul de reducere care se genereaza de catre Aplicatie, folosit de catre Afiliat pentru realizarea Promovarii online, in scopul identificarii Vizitatorilor, precum si a inregistrarii, verificarii si validarii Conversiilor;
Comisionul reprezinta suma de bani stabilita de catre Qwerty Key, cu care se recompenseaza Afiliatii pentru fiecare Vanzare generata in beneficiul lor prin intermediul Aplicatiei si al Programului;
Contract reprezinta Contractul de comision- in cazul Afiliatilor persoane fizice neautorizate, respectiv Contractul de prestari servicii de marketing in cazul Afiliatilor persoane fizice autorizate si/sau persoanelor juridice, care este pus la dispozitie Afiliatilor de catre Qwerty Key prin intermediul Aplicatiei si/sau site-ului  si pe care Afiliatii au obligatia sa il semneze si sa il trimita catre Qwerty Key in vederea incasarii Castigului Platibil; Termenii si Conditiile Programului cu toate modificarile si actualizarile afisate in Platforma in orice moment fac parte integranta din Contract pe care il completeaza corespunzator, continutul Contractului fiind interpretat in conformitate cu prevederilor acestora.
Contul de Afiliat reprezinta spatiul de lucru al Afiliatului in cadrul Platformei, in care sunt disponibile informatii despre performantele activitatii sale de asociere, numarul de Conversii generate, Castigul Curent precum si notificari de interes din partea Qwerty Key (inclusiv eventuale actualizari ale Termenilor si Conditiilor Programului).
Conversia reprezinta acţiunea realizata online, prestabilita de catre Afiliat, intreprinsa de catre Vizitatori in favoarea Afiliatului, in urma Promovarii realizata de catre Afiliat. Conditiile pe care trebuie sa le indeplineasca Conversia pentru a fi recompensata sunt stabilite de Qwerty Key. 
Conversia se refera la comanda online de bunuri primita de Qwerty Key in urma Promovarii realizate de catre Afiliat, incasata in intregime si pentru care a expirat termenul de retragere al consumatorului, si care va fi recompensata de catre Qwerty Key prin plata unui comision stabilit aplicat la valoarea comenzii (exclusiv produse comercializate pe site-ul www.qwertykey.ro) dupa scaderea TVA, transport si/sau alte taxe.
In cazul in care consumatorul returneaza ulterior produse achizitionate pentru care Afiliatul a beneficiat de comision, valoarea comisionului acordat la facturarea comenzii respective va fi scazut din contul afiliatului, diminuand castigul platibil din perioada curenta.
Cookie-ul este un fisier de mici dimensiuni, format din litere si numere, care este stocat in browserul web instalat pe computerul, terminalul mobil sau alte echipamente ale unui Vizitator de pe care se acceseaza internetul si in baza caruia are loc contorizarea Conversilor realizate prin intermediul Afiliatului.
Mediile online si offline reprezinta ansamblul generic al tuturor locurilor in care se poate realiza promovarea prin intermediul internetului.
Modalitatile de promovare reprezinta tehnicile prin care Mediile online cat si offline pot fi folosite in vederea promovarii prin intermediul internetului. Spre exemplu, constituie modalitati de promovare: publicarea de continut in cadrul retelelor sociale, utilizarea publicitatii platite, scrierea de articole pe bloguri, folosirea de bannere pe Website-uri, cat si mediile offline: saloane, magazine, evenimente, targuri etc
Platforma sau Aplicatia reprezinta sistemul tehnic de asociere dezvoltat de catre Shopify si operat de catre Qwerty Key, pus la dispozitia Afiliatului pe domeniul www.qwertykey.ro impreuna cu toate informatiile de interes si instrumentele specifice necesare astfel incat acesta sa poata utiliza Programul, respectiv sa poata genera, prin intermediul Promovarii online sau offline. In cadrul Platformei (Aplicatiei) sunt publicate informatii actualizate despre valoarea Castigurilor oferite Afiliatilor de catre Qwerty Key si eventuale restrictii suplimentare impuse de catre aceasta, pe care Afiliatii se obliga sa le respecte.
Promovarea online si offline reprezinta activitatea Afiliatilor de utilizare a Instrumentelor de promovare, in Mediile online si offline agreate de catre Qwerty Key, in vederea obtinerii Castigului;
Programul reprezinta Programul Afiliat Qwerty Key pus la dispozitia Afiliatilor prin intermediul caruia acestia utilizeaza Platforma pentru a genera Conversii in beneficiul Qwerty Key si pentru a fi recompensati cu Castigul Platibil;
Vizitatorul este persoana care acceseaza website-ul Qwerty Key prin intermediul Instrumentelor de promovare utilizate de catre Afiliat;
Website-ul reprezinta o pagina sau un grup de pagini web interconectate, avand o tema si un nume de domeniu comun;

3. INREGISTRAREA CONTULUI DE AFILIAT

3.1. Pot utiliza Programul si pot deveni Afiliati, urmatoarele categorii de persoane:
a) Persoana fizica (neautorizata) cu varsta peste 18 ani.
aˆ) Persoanele sub 18 ani pot deveni Afiliati daca si numai daca un parinte sau tutorele legal semneaza Contractul in numele lor si isi asuma responsabilitatea respectarii art. 122 alin. (1) din Codul fiscal (declararea la organul fiscal competent a veniturilor in vederea achitarii obligatiilor fiscale suplimentare);
sau
b) Persoane fizice autorizate (PFA, II)*;
c) Persoane juridice*;
 * care au in  obiectul de activitate marketing şi / sau publicitate.
3.2. Persoanele fizice neautorizate care obţin frecvent (cu continuitate) câştiguri prin prestarea de servicii de marketing au obligaţia de a se autoriza, conform dispoziţiilor legale privitoare la activitaţile dependente. Qwerty Key işi rezerva dreptul de a condiţiona in orice moment continuarea colaborarii cu aceşti Afiliati de autorizarea pentru prestarea serviciilor de marketing, dar nu poate impune momentul si/sau necesitatea autorizarii si nu poate fi trasa la raspundere pentru nici una din actiunile Afiliatilor legate de acest aspect. 
3.3. Pentru a putea utiliza Programul este necesara crearea unui Cont de Afiliat in cadrul Platformei. Un Afiliat poate avea un singur Cont de Afiliat in cadrul Platformei.
3.4. La crearea Contului de Afiliat si ulterior, oricand pe parcursul utilizarii Programului, Afiliatul se obliga sa ofere informatii corecte si complete legate de identitatea sa si de Mediile online pe care le va folosi pentru a genera Conversii in beneficiul Afiliatului.

4. MEDIILE ONLINE, MODALITATILE SI INSTRUMENTELE DE PROMOVARE

4.1. Nu vor fi acceptate si aprobate ca Medii online Website-urile care:
a) au continut sexual sau pornografic sau promoveaza un astfel de continut;
b) promoveaza violenta, bigotismul sau discriminarea pe baza de rasa, etnie, sex, religie, orientare sexuala, varsta sau invaliditate;
c) sunt defaimatoare, calomnioase sau folosesc un limbaj vulgar;
d) implica, faciliteaza sau promoveaza vanzarea sau utilizarea de substante ilegale;
e) implica, faciliteaza sau promoveaza activitati de terorism, revolta sau alte activitati ilegale;
f) prejudiciaza minorii in orice fel;
g) implica sau faciliteaza jocurile de noroc;
h) intra in conflict sau incalca oricare din legile, drepturile de proprietate intelectuala sau alte drepturi ale oricarei persoana sau entitati;
i) prin natura si continutul acestora incalca legile curente ale statului roman;
j) contin, constituie, implica, faciliteaza sau promoveaza activitati ilegale, inclusiv, dar fara a se limita la, Website-uri warez, Website-uri de hacking sau cracking, Website-uri de filesharing sau torrent, cu fisiere si/ sau alte materiale cu proprietate intelectuala spre vizionare, descarcare, vanzare sau copiere, fara permisiunea proprietarului;
k) folosesc metode de promovare intruzive precum bannere pop-up/pop-under;
l) sunt nefunctionale, fara continut propriu, in etapa de creare, sau au un continut publicitar pe mai mult de 50% din suprafata paginilor web
m) personifica oricare alta persoana, inclusiv pe oricare reprezentant al Qwerty Key sau al Afiliatului
n) contin in numele domeniului qwertykey, inclusiv www.qwertykey.ro
4.2. Afiliatul poate folosi pentru a genera Conversii urmatoarelor Medii online si offline si Modalitati de promovare:
a) promovare in cadrul Website-urilor administrate de Afiliati;
b) campaniile publicitare platite prin intermediul Google AdWords si / sau Facebook Ads, etc;
c) promovare prin publicarea de continut in cadrul retelelor de socializare;
d) promovarea in saloane, magazine, targuri, evenimente.
4.3. Folosirea oricaror altor Modalitati de promovare decat cele mentionate la punctul 4.2. este conditionata de trimiterea unui email in prealabil pentru obtinearea unui acord in partea Qwrty Key. In acest sens, Afiliatul va furniza Qwerty Key toate informatiile necesare legate de Modalitatea de promovare propusa.
4.4. Promovarea in anumite Medii online (precum Google AdWords) poate fi restrictionata partial sau total, potentialele restrictii fiind comunicate de catre acestia in cadrul Platformei.
4.5. Qwerty Key isi rezerva dreptul de a verifica permanent modul in care Afiliatul respecta conditiile de Promovare.
4.6. Afiliatul se obliga sa foloseasca Instrumentele de promovare oferite de catre Platforma intr-o maniera corecta, prin care sa nu induca in eroare terte persoane.
4.7. In cazul incetarii, indiferent de motiv, a utilizarii Programului , Afiliatul este obligat sa renunte imediat la utilizarea oricarui Instrument de promovare, fiind exclusiv raspunzator fata de Qwerty Key.
4.8. Qwerty Key nu isi asuma nicio responsabilitate pentru Vizitatorii care au dezactivat, refuza inregistrarea Cookie-urilor sau pentru cei care au realizat stergerea acestora.

5. DREPTURILE SI OBLIGATIILE AFILIATULUI

5.1. Drepturile Afiliatului sunt:
a) sa utilizeze Instrumentele de promovare in conformitate cu Termenii si Conditiile Programului si cu eventualele conditii impuse de Qwerty Key, in vederea generarii de Conversii si a obtinerii de Castiguri
b) sa fie recompensat prin Castiguri pentru Conversiile generate si aprobate;
c) sa poata participa la competitii organizate de Qwerty Key si sa poata castiga premii, in conformitate cu regulamentul acestor competitii;
d) sa primeasca informari periodice cu privire la activitatea de afiliat, noutati si performante ale Programului, concursuri si evenimente pentru Afiliati;
e) sa aiba acces la Termenii si Conditiile Programului, cu toate modificarile si actualizarile afisate in Platforma in orice moment.
5.2. Obligatiile Afiliatului sunt:
a) sa furnizeze informatii corecte si complete privind identitatea sa;
b) sa foloseasca pentru Promovarea online exclusiv Mediile online, Metodele de promovare si Website-urile declarate si agreate de catre Qwerty Key, cu respectarea eventualelor conditii sau restrictii impuse
c) sa furnizeze informatii corecte si complete legate de orice informatii de interes in vederea stabilirii obligatiilor fiscale si sa actualizeze aceste informatii ori de cate ori apar modificari;
d) sa utilizeze cu buna credinta Platforma si Instrumentele de promovare puse la dispozitie de catre Qwerty Key, fara sa le altereze in vreun fel;
e) sa nu aduca atingere imaginii si/sau intereselor Qwerty Key prin orice activitati pe care le intreprinde, prin ceea ce comunica sau prin modul in care o face;
f) sa furnizeze prompt, la cererea Qwerty Key, informatiile necesare pentru analiza si aprobarea Castigurilor;
g) sa anunte Qwerty Key imediat ce a constatat disfunctionalitati de orice natura ale Platformei;
h) sa respecte toate obligatiile si conditiile precizate in celelalte capitole ale Termenilor si Conditiilor Programului, cu toate modificarile si actualizarile afisate in Platforma in orice moment.

6. DREPTURILE SI OBLIGATIILE Qwerty Key

6.1. Drepturile Qwerty Key:
a) Qwerty Key isi rezerva dreptul de a verifica respectarea de catre Afiliati a Termenilor si Conditiilor Programului, cu toate modificarile si actualizarile afisate in Platforma, precum si a eventualelor conditii suplimentare impuse, putand solicita in orice moment informatii complete privind activitatea desfasurata de catre Afiliati;
b) Qwerty Key isi rezerva dreptul de a anula in orice moment castiguri ale Afiliatilor care nu respecta Termenii si Conditiile Programului, cu toate modificarile si actualizarile afisate in cadrul Platformei si / sau eventualele conditionari suplimentare impuse, de a intrerupe folosirea Programului si de a dezactiva Contul de Afiliat, fara nicio alta obligatie sau raspundere din partea Qwerty Key;
c)Qwerty Key isi rezerva dreptul de a bloca accesul Afiliatilor care nu dau curs solicitarilor sale la Contul de Afiliat pana cand acestia furnizeaza toate informatiile si rapoartele solicitate, legate de activitatea desfasurata;
d) Qwerty Key are dreptul de a modifica Termenii si Conditiile Programului, cu instiintarea in prealabil a Afiliatilor, prin orice metoda aleasa de catre Qwerty Key.
6.2. Obligatiile Qwerty Key sunt:
a) Sa efectueze catre Afiliati plata Castigurilor aprobate, atunci cand acestia indeplinesc toate conditiile necesare conform Termenilor si Conditiilor Programului;
b) Sa asigure functionarea Instrumentelor de promovare, inregistrarea Conversiilor si a Castigurilor aferente;
c) Sa furnizeze prin intermediul Contului de Afiliat, informatii privind Conversiile generate, indiferent de statusul acestora (“aprobate”, „in asteptare”, „anulate”);
d) Sa ofere Afiliatilor acces la eventualele modificari ale Termenilor si Conditiilor Programului. Qwerty Key poate notifica Afiliatii despre faptul ca Termenii si Conditiile au suferit modificari, insa responsabilitatea in ceea ce priveste luarea la cunostinta a Termenilor si Conditiilor cade in sarcina Afiliatilor. Afiliatii nu pot invoca necunoasterea clauzelor din Termeni si Conditii din cauza lipsei unei notificari din partea Qwerty Key;
e) Sa ofere Afiliatilor, prin orice metoda, informari cu privire la activitatea de afiliat, noutati si performante ale Programului.

7. CASTIGURI, BONUSURI SI PLATA AFILIATULUI

7.1. Acordarea Castigurilor
7.1.1. Modalitatile de calcul a Castigurilor, precum si eventualele conditionari sau restrictionari suplimentare in legatura cu incasarea acestora sunt stabilite de catre Qwerty Key, fiind afisate si actualizate in permanenta in Platforma.
7.1.2. Castigurile sunt atribuite doar Afiliatului care a generat Conversia, fiind netransmisibile catre ale persoane decat Afiliatului
7.1.3. Toate Conversiile si Castigurile aferente vor fi calculate si inregistrate de catre Qwerty Key prin intermediul Platformei si afisate in Contul de Afiliat.
7.1.4. Pana la incasarea de catre Afiliat, fiecare Castig va putea avea unul din urmatoarele statusuri:
a)“aprobat” - desemneaza Castigul aferent Conversiilor inregistrate de catre Platforma (inclusix taxele aferente) cu respectarea Termenilor si Conditiilor Programului si aprobate spre plata Afiliatlor
b) “in asteptare” - desemneaza Castigul aferent Conversiilor inregistrate de catre Platforma (inclusive taxele aferente), care nu au fost inca aprobate spre plata urmand a fi verificate de catre Qwerty Key;
c) “anulat”- desemneaza Castigul aferent Conversiilor inregistrate de catre Platforma, respinse de Qwerty Key conform regulamentului propriu pentru nerespectarea Termenilor si Conditiilor Programului.
d) “platit” – desemneaza Castigul aferent Conversiilor inregistrate de catre Platforma (din care se scad taxele aferente in momentul platii), care au fost platite in contul Afiliatului.
7.2. Acordarea bonusurilor si/sau premiilor
7.2.1. Qwerty Key isi rezerva dreptul de a acorda bonusuri sau premii suplimentare Castigului pentru a recompensa anumite performante ale Afiliatilor. Bonusurile si premiile vor fi comunicate, impreuna cu eventualele regulamente aferente, prin publicarea in Platforma.
7.2.2. Bonusurile acordate vor fi afisate in Contul de Afiliat iar plata acestora se va putea realiza doar impreuna cu plata Castigurilor, atunci cand Afiliatul indeplineste conditiile necesare pentru efectuarea platii, conform Termenilor si Conditiilor Programului
7.3.Plata Afiliatilor
7.3.1.In contul Afiliatului se va inregistra castigul platibil dupa confirmarea in prealabil de catre Qwerty Key a comisioanelor. Qwerty Key va face plata Castigului Platibil Afiliatilor, pana in ultima zi a lunii pentru Conversiile din luna precedenta, in contul bancar al Afiliatului indicat de catre acesta din urma in Contract. Plafonul minim de retragere a castigului este de  100 de lei, ceea ce inseamna ca prima plata va fi efectuata dupa atingerea cel putin a acestui prag. In cazul in care Afiliatul nu comunica catre Qwerty Key eventualele modificari ale contului sau bancar, Qwerty Key este exonerat de orice raspundere cu privire la efectuarea platii, orice plata efectuata in contul bancar inregistrat in Contract fiind considerata valabila.
7.3.2. In vederea efectuarii platii Afiliatilor persoane fizice autorizate si Afiliatilor persoane juridice, acestea sunt obligate sa emita o factura pentru Castigul platibil si sa o trimita catre Qwerty Key pana in data de 15 a lunii pentru luna precedenta. Castigul platibil in cazul acestor categorii de Afiliati are toate taxele incluse, plata acestora catre destinatiile impuse de lege este in sarcina si responsabilitatea Afiliatilor din categoriile prevazute in acest aliniat.. In cazul in care Qwerty Key nu a primit factura, plata nu va fi efectuata.
7.3.3 In vederea efectuarii platii Afiliatilor persoane fizice neautorizate, acestea sunt obligate furnizeze Qwerty Key Codul numeric Personal in vederea retinerii, declararii si platii catre Bugetul de Stat a impozitului pe venit. In cazul in care Qwerty Key nu a primit aceste date, plata nu va fi efectuata.
7.3.4. Plata Castigului platibil (dupa scaderea taxelor si comisioanelor) se va realiza prin transfer bancar, in contul curent in lei al Afiliatului, deschis la o banca din Romania.
7.4. Plata obligaţiilor fiscale
7.4.1. Afiliatii din categoriile de la Pct.3.1 b) si 3.1 c) au obligatia declararii si platii taxelor aferente veniturilor care rezulta din prezentul contract conform legilor in vigoare.
7.4.2. Afiliatilor din categoria de la Pct.3.1 a), respectiv persoane fizice neautorizate in momentul platii li se va retine un procent de 10% reprezentand impozit pe venitul persoanelor fizice care va fi ulterior declarat si platit la Bugetul de Stat conform legislatiei in vigoare de catre  Qwerty Key. Afiliatul este responsabil in totalitate de plata oricaror altor taxe si impozite care ii revin, aferente veniturilor sale, pentru declararea si/sau plata acestora si pentru orice alte aspect legat de legalitate si fiscalitate.

8. MODIFICAREA TERMENILOR SI CONDITIILOR

8.1. Qwerty Key poate modifica in orice moment orice termen sau condiţie a Programului prin publicarea unei notificari pe Platforma si/sau prin orice alta metoda aleasa de catre Qwerty Key. 
8.2. Daca Afiliatul considera ca modificarile survenite sunt inacceptabile, poate inceta imediat colaborarea prin renunţarea utilizarii Programului. Continuarea utilizarii Programului dupa notificarea si/sau afisarea in Platforma a modificarilor implica acceptarea acestora de catre Afiliat.
8.3. Qwerty Key poate modifica unilateral, in orice moment valoarea Castigurilor, politicile de bonusare, conditiile cu privire la Mediile online si Modalitaţile de promovare acceptate precum si eventualele conditionari si restrictii suplimentare.
8.4. In cazul in care Afiliatul isi exprima in scris dezacordul cu privire la modificarile Termenilor si Conditiilor Programului in termen de 30 (treizeci) de zile de la data la care acestea au intervenit, Qwerty Key isi rezerva dreptul de a intrerupe utilizarea Programului de catre respectivul Afiliat, caz in care Contractul de comision (in cazul Afiliatii persoane fizice neautorizate), respectiv Contractul de prestari servicii de marketing (in cazul persoane fizice autorizate si/sau persoanelor juridice), inceteaza de drept.
8.5. Ultima modificare a Termenilor si Conditiilor Programului afisata in Platforma prevaleaza fata de orice alta varianta anterioara a Termenilor si Conditiilor Programului, si informarea asupra acesteia cade in sarcina Afiliatului.

9. PROPRIETATEA INTELECTUALA/INDUSTRIALA

9.1. Prin utilizarea Programului, Afiliatul declara si recunoaste ca tehnologia si know-how-ul, brevetate sau nu, incorporate in Platforma si in Programul sunt si raman proprietatea Qwerty Key. Astfel Afiliatul este de acord si recunoaste ca Qwerty Key detine toate drepturile de proprietate intelectuala asupra Platformei si asupra Programului si ca, exceptand dreptul de a utiliza Platforma si Programul sub rezerva respectarii integrale a Termenilor si Conditiilor Programului, cu toate modificarile si actualizarile afisate in orice moment, nu dobandeste niciun alt drept asupra Platformei si/sau asupra Programului.
9.2. Afiliatul recunoaste si se obliga sa respecte si sa apere in orice moment dreptul de proprietate al Qwerty Key asupra Instrumentelor de promovare si declara ca nu va folosi Instrumentele de promovare in alte conditii decat cele permise in Termenii si Conditiile Programului, cu toate modificarile si actualizarile afisate in Platforma in orice moment.
9.3. Afiliatul declara si garanteaza ca detine toate drepturile (inclusiv de proprietate intelectuala) si autorizarile necesare utilizarii Website-urilor si/sau Mediilor online pe care le foloseste in realizarea Conversiilor, isi asuma intreaga raspundere pentru utilizarea acestora in vederea afisarii Instrumentelor de promovare si este singurul raspunzator in cazul in care se invoca incalcarea vreunui drept de proprietate intelectuala sau orice alt drept al unui tert in legatura cu Website-urile si/sau Mediile online respective. In cazul in care Qwerty Key notificat sau primeste o plangere de la Vizitatori sau terti cu privire la incalcarea drepturilor unor terti, Qwerty Key o va transmite Afiliatului, acesta fiind singurul raspunzator sa remedieze situatia si sa despagubeasca tertii afectati, precum si pe Qwerty Key pentru orice costuri sau prejudicii suferite ca urmare a faptului ca declaratia/garantia de mai sus nu este exacta/adevarata.

10. CLAUZE SPECIALE

10.1. Afiliatul este de acord sa despagubeasca si sa apere Qwerty Key impotriva oricaror şi tuturor pretentiilor tertilor, pierderilor si cheltuielilor (inclusiv daune, onorarii si taxe legale), aduse impotriva si/sau in sarcina Qwerty Key, care rezulta din, sau care pot aparea din utilizarea de catre Afiliat al Programului şi / sau din incalcarea de catre Afiliat a Termenilor si Conditiilor Programului, cu toate modificarile si actualizarile afisate in Platforma in orice moment.
10.2. Prin utilizarea Programului, Afiliatul acorda Qwerty Key un drept irevocabil de a retine si utiliza orice informatii legate de utilizarea Instrumentelor de promovare in Mediile online utilizate de catre Afiliati.
10.3. Afiliatii persoane juridice declara ca sunt de acord ca Qwerty Key pot folosi, inclusiv dupa incetarea relatiilor intre Afiliat si Qwerty Key, nelimitat si gratuit denumirea, logo-ul si/sau marcile Afiliatilor in prezentari, materiale de marketing, liste de clienti, rapoarte financiare, liste de website-uri ale Afiliatilor si/sau alte materiale derivate din cele anterior detaliate.
10.4. Afiliatii pot folosi denumirea Qwerty Key si/sau orice alte elemente de proprietate intelectuala ale Programului (de exemplu denumirea „ Qwerty Key”) limitat, numai in scopul si numai pe perioada utilizarii Programului, orice alta utilizare fiind considerata neautorizata si determinand raspunderea Afiliatului. 
10.5. Prin utilizarea Programului, fiecare Afiliat declara si garanteaza ca: (i) toate informatiile furnizate pentru inscrierea in Platforma sunt corecte si actuale; (ii) detine toate drepturile si/sau autorizatiile pentru utilizarea Programului si pentru incheierea oricaror acte si/sau fapte juridice legate de acest Program; (iii) detine toate drepturile asupra tuturor elementelor de proprietate intelectuala pe care le utilizeaza in cadrul Programului; (iv) respecta si va continua sa respecte toate si oricare prevederi legale in vigoare in orice moment.
10.6. Pe perioada utilizarii Programului, dar si dupa incetarea acestuia, Afiliatul se obliga sa nu dezvaluie catre terti, fara acordul prealabil al Qwerty Key: (i) informatii in legatura cu aplicatiile software, codurile sursa, accesarile Vizitatorilor in cadrul Programului si/sau (ii) orice alte informatii in legatura cu Qwerty Key, toate acestea fiind considerate informatii confidentiale. Nu se supun obligatiei de confidentialitate din prezenta clauza (i) informatiile care la momentul dezvaluirii erau cunoscute publicului din alte surse, fara incalcarea de catre Afiliat a obligatiei de confidentialitate asumate prin prezenta clauza si (ii) informatiile care sunt dezvaluite autoritatilor, cu respectarea prevederilor legale.
10.7. Afiliatul se obliga sa utilizeze Instrumentele de promovare numai in conformitate cu Termenii si Conditiile Programului cu toate modificarile si actualizarile afisate in Platforma in orice moment.
10.8. Afiliatul recunoaste ca in cazul in care va semna/incheia un Contract cu Qwerty Key necesar pentru efectuarea platilor Castigurilor aprobate si/sau bonusurilor, Termenii si Conditiile Programului, cu toate modificarile si actualizarile afisate in Platforma in orice moment, vor face parte integranta din acest Contract, Contractul fiind completat si interpretat in sensul Termenilor si Conditiilor Programului, cu toate modificarile si actualizarile afisate in Platforma.
10.9. Afiliatul confirma si recunoaste irevocabil ca Qwerty Key nu ofera nicio garantie, directa si/sau implicita, cu privire la realizarea de catre Afiliat a unui profit, respectiv cu privire la incasarea unui Castig prin utilizarea Programului
10.10. Nerealizarea unui Castig Platibil si/sau nesemnarea Contractului nu exonereaza Afiliatul de raspundere cu privire la utilizarea Programului, acesta fiind responsabil de respectarea prevederilor Termenilor si Conditiilor Programului in ultima versiune actualizata care este comunicata in cadrul Platformei, existenta la data utilizarii Programului.

11. PRELUCRAREA DATELOR CU CARACTER PERSONAL:

11.1. Prin utilizarea Programului Afiliatul isi exprima neechivoc consimtamantul in mod expres ca Qwerty Key:
- sa prelucreze datele sale cu caracter personal si toate celelalte date inregistrate in cadrul Programului (inclusiv CNP), direct sau prin intermediul operatorilor desemnati de catre acesta (mandatari si/sau terti contractanti, din tara sau strainatate) in scopul derularii raporturilor juridice create, respectiv in scopul realizarii Programului (in scopul verificarii identitatii/datelor personale furnizate, realizarii obiectivelor activitatii deafiliatiat, in scop statistic) si in scopul realizarii activitatii de marketing (scopuri promotionale, in vederea acordarii de noi servicii/produse, transmiterii oricarei oferte/corespondente comerciale prin care sunt promovate produsele si/sau serviciile Qwerty Key sau ale altor afiliati ai Qwerty Key) precum si pentru alcatuirea bazei de date proprii;
- sa poata transfera (ceda) datele personale ale Afiliatului altui operator, cu conditia respectarii obligatiei de informare conform clauzelor prezentului capitol.
11.2. Prin utilizarea Programului, Afiliatul confirma expres ca:
a) In legatura cu scopul utilizarii Programul este de acord cu prelucrarea datelor sale personale, inclusiv CNP (stocare, dezvaluire, cedare catre terti etc.) si ca refuzul sau cu privire la prelucrarea datelor sale personale (stocare, dezvaluire, cedare catre terti etc.) duce la imposibilitatea utilizarii Programului;
b) In legatura cu scopul realizarii activitatii de marketing este de acord cu prelucrarea datelor sale personale, inclusiv CNP (stocare, dezvaluire, cedare catre terti etc.) si ca refuzul sau cu privire la prelucrarea datelor sale personale (stocare, dezvaluire, cedare catre terti etc.) poate duce la imposibilitatea utilizarii Programului.
Astfel Afiliatul este de acord ca toate datele sale personale sa fie incluse in baza de date a Qwerty Key si isi da acordul expres si neechivoc ca toate datele sale personale sa fie stocate si utilizate pentru:
activitati de marketing prin primirea de mesaje de informare sau comerciale (oferte, promotii, mesaje publicitare si de marketing privind activitatea Qwerty Key
participarea la concursuri, promotii;
transmiterea de mesaje non-comerciale sau de tip administrativ (privind schimbari in Platforma, administrare, etc);
statistici interne realizate de catre Qwerty Key necesare pentru imbunatatirea calitatii serviciilor oferite si imaginii Qwerty Key si pentru crearea unor elemente caracteristice noi, promotii, functionalitati si servicii noi;
cercetari de piata.
Urmarirea rezultatelor Programului
11.3. Afiliatul a luat la cunostinta ca ii sunt garantate drepturile prevazute de lege, respectiv dreptul de informare, dreptul de acces la date, dreptul de interventie, dreptul de opozitie, dreptul de a nu fi supus unei decizii individuale, dreptul de se adresa justitiei in caz de incalcare a drepturilor sale garantate de Legea 677/2001 pentru protecţia persoanelor cu privire la prelucrarea datelor cu caracter personal şi libera circulaţie a acestor date. Totodata, Afiliatul are dreptul de a se opune prelucrarii datelor sale personale si de a solicita stergerea datelor sale, acest lucru determinand insa imposibilitatea utilizarii Programului.
11.4 Afiliatul declara ca a luat la cunostinta faptul ca isi poate exercita drepturile printr-o cerere scrisa (datata si semnata) transmisa la sediul Qwerty Key.
11.5. Afiliatul declara ca in caz de cedare a datelor sale personale (inclusiv CNP) catre terti (in afara de organele indreptatite ale statului), din tara sau din strainatate , este de acord sa fie notificat prin intermediul Qwerty Key, având dreptul de opozitie si interventie potrivit celor sus mentionate, caz in care Qwerty Key va lua, de indata, toate masurile ce se impun stergerii/modificarii datelor sale astfel cedate.
11.6. Afiliatul declara ca inclusiv in cazul in care nu va fi agreat de catre Qwerty Key pentru a utiliza Programului este de acord ca datele sale personale sa fie prelucrate in vederea ofertarii de alte produse si/sau servicii, de catre orice alta entitate care a incheiat in acest sens un afiliatiat cu Qwerty Key.
11.7. Pe baza unei cereri scrise, datate si semnate, expediate pe adresa sediului Qwerty Key, Afiliatul isi poate exercita, in mod gratuit, urmatoarele drepturi:
- o data pe an, confirmarea faptului ca datele personale sunt sau nu prelucrate;
- sa intervina asupra datelor transmise;
- sa se opuna prelucrarii datelor personale pentru motive intemeiate si legitime legate de situatia sa particulara.

12. INCETARE

12.1. Incheierea Contractului intre Qwerty Key si Afiliat necesar pentru efectuarea platilor Castigurilor aprobate si/sau bonusurilor precum si utilizarea Programului sunt pe durata nedeterminata.
12.2. Sub rezerva respectarii conditiilor stabilite de Qwerty Key pentru Promovarea online, Afiliatul poate inceta in orice moment Contractul intre Qwerty Key si Afiliat si/sau, in lipsa unui Contract, utilizarea Programului, printr-o instiintare pe adresa de email: help@qwertykey.ro. In acest caz incetarea va produce efecte in termen de 5 (cinci) zile lucratoare de la primirea de catre Qwerty Key a notificarii din partea Afiliatului.
12.3. Qwerty Key isi rezerva dreptul de a inceta in orice moment colaborarea cu un Afiliat in cazul in care acesta nu respecta Termenii si Conditiile Programului, cu toate modificarile si actualizarile afisate in Platforma in orice moment. In acest caz incetarea va produce efecte imediat, Qwerty Key avand dreptul, recunoscut de catre Afiliat, de ii anula Afiliatului Castigul curent si/sau eventualele bonusuri realizate, de a ii intrerupe utilizarea Programului si / sau de a ii dezactiva Contul de Afiliat, fara nicio alta obligaţie sau raspundere din partea Qwerty Key.
12.4. Qwerty Key are dreptul, recunoscut de catre Afiliat, de a opri in orice moment utilizarea de catre un Afiliat a anumitor Instrumente de promovare.
12.5. Qwerty Key are dreptul, la propria sa discretie, sa denunte unilateral, in orice moment Contractul incheiat cu orice Afiliat si/sau de a intrerupe utilizarea Programului, prin transmiterea unei notificari la adresa de e-mail a Afiliatului si/sau prin afisare in Platforma. In acest caz incetarea va produce efecte imediat, dupa emiterea de catre Qwerty Key a notificarii de incetare. In cazul unei astfel de incetari Afiliatul nu are dreptul la nicio despagubire din partea Qwerty Key, acesta recunoscand ca o astfel de incetare nu ii produce niciun prejudiciu.
12.6. In cazul incetarii Contractului si/sau utilizarii Programului, Afiliatul va inceta imediat sa foloseasca orice Instrument de promovare si/sau orice alte elemente de proprietate intelectuala si/sau industriala primite pentru utilizarea Programului. Orice eventuale Conversii realizate dupa momentul incetarii nu vor determina obligatii de plata in sarcina Qwerty Key.
12.7. Incetarea Contractului incheiat intre Qwerty Key si Afiliat si/sau a utilizarii Programului nu va exonera de raspundere Afiliatul pentru prejudiciile cauzate Qwerty Key si/sau tertilor.
12.8. In cazul incetarii Contractului si/sau utilizarii Pogramului, sumele inregistrate in Contul de Afiliat cu titlu de Castig platibil si eventualele bonusuri vor fi platite Afiliatului. Sumele inregistrate in Contul de Afiliat cu titlu de Castig curent si eventuale bonusuri, dar care nu au atins Pragul minim de retragere si/sau cele care nu indeplinesc toate conditiile pentru a fi considerate Castig platibil nu vor mai fi platite Afiliatului, acesta asumandu-si in mod expres ca lipsa validarii modificarilor Termenilor si Conditiilor Programului conform prezentei clauze poate determina pierderea sumelor. De asemenea, Afiliatul confirma ca nu va avea pretentii suplimentare Castigului Platibil si eventualelor bonusuri asa cum sunt acestea stabilite si platite de catre Qwerty Key.

13. CESIUNE

13.1. In lipsa acordului prealabil, expres, consemnat in scris al Qwerty Key, Afiliatul nu are dreptul de a cesiona si/sau transfera in niciun mod, total sau partial, drepturile si obligatiile sale rezultate din Contractul incheiat cu Qwerty Key si/sau din utilizarea Programului.
13.2. Prin utilizarea Programului, Afiliatul recunoaste dreptul Qwerty Key de a cesiona in orice moment, fara a fi nevoie de un alt acord al Afiliatului, total sau partial, oricare si toate drepturile si/sau obligatiile sale rezultate din Contractul incheiat cu Afiliatul si/sau din utilizarea Programului. De asemenea, Afiliatul recunoaste dreptul Qwerty Key de a cesiona / transfera catre un tert, in orice mod, total sau partial, Programul.

14. NOTIFICARI:

14.1. Notificarile, comunicarile si/sau orice alte adrese efectuate in cadrul Programului se vor face in scris, prin comunicare la adresa de corespondenta sau la adresa de e-mail help@qwertykey.ro indicate de catre Afiliat in formularele de inregistrare a Contului de Afiliat, si de catre Qwerty Key in Introducerea Termenilor si Conditiilor Programului, cu toate modificarile si actualizarile afisate in Platforma in orice moment.
14.2. Afiliatul recunoaste ca orice notificari, comunicari efectuate de catre Qwerty Key prin intermediul Programului, prin afisare in Platforma, sunt valabile si ii sunt opozabile de la momentul publicarii / afisarii de catre Qwerty Key.
14.3. In cazul in care comunicarea se face prin posta (inclusiv orice serviciu de curierat), va fi valabila daca va fi transmisa cu confirmare de primire si va fi considerata primita la data mentionata pe confirmarea de primire de catre oficiul postal primitor si/sau de catre curier.
14.4. In cazul in care comunicarea se face prin e-mail ea va fi considerata primita in ziua lucratoare in care a fost trimisa si/sau in ziua lucratoare imediat urmatoare in cazul in care a fost trimisa intr-o zi nelucratoare.

15. FORTA MAJORA

15.1. Orice imprejurare care este imposibil de prevazut si invincibila, independenta de vointa si controlul Partilor, care face imposibila indeplinirea obligatiilor Afiliatului si/sau Qwerty Key, va fi considerata Forta Majora si va exonera partea care o invoca de indeplinirea respectivei obligatii.
15.2. Cauzele de Forta Majora sunt acele imprejurari, incluzand, fara limitare: razboi, revolutie, cutremur, inundatii masive, embargo, expropriere, incendiu devastator, intreruperea sau blocarea accesului sau functionalitatii Platformei si/sau Programului din motive neimputabile Qwerty Key.
15.3.Partea care invoca Forta Majora trebuie sa notifice cealalta parte in termen de 10 zile lucratoare de la data la care au survenit imprejurarile si sa puna la dispozitie documentele care atesta Forta Majora, eliberate de o autoritate competenta in termen de 30 (treizeci) de zile lucratoare de la acea data. Partea in cauza este de asemenea obligata sa comunice imediat data la care inceteaza cauza de Forta Majora.
15.4.In cazul omisiunii de a notifica, in conformitate cu conditiile si in termenele limita prevazute mai sus, declansarea si incetarea cauzei de Forta Majora, partea care reclama Forta Majora va suporta intregul prejudiciu cauzat celeilalte parti de aceasta omisiune.
15.5.Partile se angajeaza sa ia toate masurile rezonabile necesare in vederea limitarii oricarui prejudiciu care ar putea surveni pe durata situatiei de Forta Majora, drept rezultat al situatiei de Forta Majora.
15.6. In timpul unui eveniment de Forta Majora care impiedica una sau ambele parti sa-si efectueze obligatiile, partile sunt exonerate de indeplinirea obligatiilor lor. Daca Forta Majora nu inceteaza in termen de 3 (trei) luni de la notificarea sa, oricare dintre parti poate denunta Contractul si/sau utilizarea Programului.

16. LEGISLATIE APLICABILA SI JURISDICTIE

16.1. Prevederile Programului Afiliat sunt guvernate de legile din Romania.
16.2. Instantele competente din Romania vor avea jurisdictie exclusiva asupra oricaror si tuturor disputelor ce vor aparea in legatura cu prevederile Termenilor si Conditiilor Programului, cu toate modificarile si actualizarile afisate in Platforma in orice moment si/sau in legatura cu Contractul incheiat intre Afiliat si Qwerty Key in temeiul acestor Termeni si Conditii.

Information collected from Affiliates

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....
